AGB Terms and Conditions

General Terms and Conditions (GTC) for the Use of codeto

Scope

These General Terms and Conditions (GTC) govern the contractual relationship between codeto GmbH, Köchlistrasse 20, 8004 Zurich, Switzerland (hereinafter “codeto” or “we”) and its customers (hereinafter “Customer” or “you”) with regard to the use of the SaaS solution “codeto”.

Subject Matter of the Contract

codeto provides the Customer with the “codeto” software via the internet. The Customer can access the software through a web browser and use it within the scope of these GTC.

Conclusion of Contract

The contract is concluded either through the explicit acceptance of an offer by codeto or through the activation of a customer account by codeto. By using codeto, the Customer agrees to these GTC as well as to the Privacy Policy.

Services and Use

Use of codeto is based on the subscribed plan:

Pricing is based on the number of employees managed in codeto. Logins are personalized and may only be used by the authorized person. The disclosure of access data to third parties is prohibited.

  • Monthly price: invoiced quarterly in advance
  • Annual price: 15% discount on the monthly price, invoiced annually in advance

Term and Termination

The minimum contract term is three months. Thereafter, the contract is automatically extended by a further quarter at a time, unless it is terminated by the Customer or by codeto with effect as of the end of a quarter. Termination must be in written form (email is sufficient).

Payment Terms

Invoices are payable within 14 days from the invoice date. No dunning (reminder) fees are charged. However, codeto reserves the right to block access to codeto in the event of payment default until payment has been received.

Availability and Support

codeto provides codeto with a targeted average availability of 99.5% per calendar year. Excluded from this are periods during which use is not possible due to maintenance work, updates or technical disruptions.

Support hours: Monday to Friday, 09:00 to 17:00 (CET), excluding public holidays at codeto’s registered office. Inquiries are answered within 24 hours during support hours.

Customer Obligations

The Customer is obliged to store access data securely and not make it accessible to third parties. The Customer undertakes to use codeto only within the legally permissible framework and not to process any unlawful content via codeto.

Liability

Within the framework of statutory provisions, codeto is liable only for damages caused by gross negligence or intent. Liability for indirect damages, consequential damages or loss of profit is excluded.

Data Protection

The collection and processing of personal data is carried out in accordance with our current Privacy Policy.

Amendments to the GTC

codeto reserves the right to amend these GTC at any time. Amendments will be communicated to the Customer in an appropriate manner. If the Customer does not object to the amendments within 30 days, the amended GTC are deemed accepted.

Place of Jurisdiction and Applicable Law

Exclusively Swiss law shall apply. The place of jurisdiction for all disputes arising from or in connection with this contract is Zurich, Switzerland.

Severability Clause

Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall not be affected.
